1. Agreement to Terms

By accessing or using the services provided by Gradient Sphere LLC ("Company," "we," "us," or "our"), including our website at gradientsphere.com and our product Chaos (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Service

Chaos is an AI-powered ingestion engine that processes raw, unstructured project materials and synthesizes them into clean, context-rich specification artifacts. The Services are provided on a subscription basis as described on our website.

3. Account Registration & Security

To access certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain the security of your account credentials;
  • Promptly update your account information as necessary;
  • Accept responsibility for all activities that occur under your account.

You must notify us immediately at legal@gradientsphere.com if you suspect any unauthorized use of your account.

4. Subscription & Payment

The Services are offered on a subscription basis. By subscribing, you agree to pay the applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis, depending on the plan you select.

  • All fees are quoted in U.S. dollars unless otherwise stated.
  • We reserve the right to change subscription fees upon reasonable notice. Any fee changes will take effect at the start of the next billing cycle.
  • Failure to pay applicable fees may result in suspension or termination of your access to the Services.

5. User Content & Data

You retain all ownership rights to the content and documents you upload to the Services ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process, store, and analyze your User Content solely for the purpose of providing the Services to you.

We do not claim ownership of your User Content. We will not use your User Content for purposes other than providing and improving the Services, except with your explicit consent.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable local, state, national, or international law or regulation;
  • Upload or transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Reverse engineer, decompile, or disassemble any aspect of the Services;
  • Use the Services to develop a competing product or service.

7. Intellectual Property

The Services, including all software, designs, text, graphics, and other content (excluding User Content), are the exclusive property of Gradient Sphere LLC and are protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

8. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Services will immediately cease;
  • We may delete your account and User Content after a reasonable retention period;
  • You may request a copy of your User Content before termination takes effect.

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

The outputs generated by the AI-powered features of the Services are provided for informational purposes and should be reviewed and verified by you before reliance. We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRADIENT SPHERE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gradient Sphere LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
